1. Taal / Language / Langue
1.1 Deze algemene voorwaarden (hierna: de “AV”) zijn op eenvoudig verzoek van de klant beschikbaar in het Nederlands, Engels en Frans. These general conditions are available on request of the customer in Dutch, English and French. Ces conditions générales sont disponibles sur simple demande de la part du client en néerlandais, français et anglais.
1.2 De oorspronkelijke taal van deze AV is het Nederlands. Vertalingen opgesteld in een andere taal, vormen steeds louter een toegift naar de klant toe. In geval van tegenstrijdigheden zal de Nederlandse versie steeds prevaleren.

2. Toepassing AV
2.1 Alle contractuele rechtsverhoudingen, zowel huidige als toekomstige, tussen de naamloze vennootschap Meli, met maatschappelijke zetel te 8630 Veurne, Handelsstraat 13, BTW BE 0411.905.847, RPR Gent, afdeling Veurne (hierna: “MELI”) en elke klant-rechtspersoon, evenals iedereen die in naam of voor rekening van die rechtspersoon een bestelling plaatst bij MELI (hierna: de “Klant”), worden beheerst door (in hiërarchisch dalende volgorde, het volgende bij ontstentenis of stilzwijgen van het vorige): (i) de schriftelijke overeenkomst tussen MELI en de Klant, (ii) de schriftelijke orderbevestiging uitgaande van MELI, (iii) de bevestigingsmail uitgaande van MELI bij plaatsing van een bestelling op de webshop via de website van MELI (www.meli.be) (hierna: de “Webshop” en de “Website”), (iv) de door MELI aanvaarde bestelbon uitgaande van de Klant, (v) de door de Klant aanvaarde offerte van MELI, (vi) deze AV, en (vii) het Belgisch recht.
2.2 MELI is actief in de productie en verkoop van honing en op honing gebaseerde voedingsproducten (hierna: de “Produits”).
2.3 Door een prijsaanvraag, order, het sluiten van een overeenkomst, of door het plaatsen van een bestelling op de Webshop erkent de Klant kennis genomen te hebben van deze algemene voorwaarden en te aanvaarden dat deze van toepassing zullen zijn op alle rechtsverhoudingen tussen MELI en de Klant.
2.4 Deze algemene voorwaarden hebben steeds voorrang op de voorwaarden van de Klant, die niet tegenstelbaar zijn aan MELI, zelfs niet indien deze bepalen dat zij als enige gelden.
2.5 Het (herhaaldelijk) niet-toepassen door MELI van enig recht, kan slechts worden beschouwd als het gedogen van een bepaalde toestand en leidt niet tot rechtsverwerking.
2.6 De eventuele nietigheid van één of meerdere bedingen uit deze algemene voorwaarden of een gedeelte daarvan, doet geen afbreuk aan de geldigheid en toepasselijkheid van de andere clausules en/of de rest van de bepaling in kwestie. De bevoegde rechter kan de nietige bepaling matigen tot wat (wettelijk) is toegelaten.

3. Publicitaire aankondigingen
Brochures, nieuwsbrieven, en andere publicitaire aankondigingen, alsook de vermeldingen op de Website en Webshop en de social media van MELI (facebook, instagram, pinterest, youtube, etc.) zijn geheel vrijblijvend en slechts te beschouwen als een uitnodiging tot het plaatsen van een bestelling door de Klant, tenzij uitdrukkelijk anders vermeld. De vermelde prijs, beschrijvingen, eigenschappen, functionaliteiten en afbeeldingen van de Producten zijn louter indicatief en niet bindend voor MELI.

4. Totstandkoming overeenkomst
4.1 De overeenkomst komt pas tot stand (i) bij ontvangst van de schriftelijke orderbevestiging van de bestelling door een persoon bevoegd om MELI te verbinden, dan wel (ii) bij ontvangst van de bevestigingsmail indien een bestelling werd geplaatst op de Webshop, (iii) dan wel door begin van uitvoering van de bestelling door MELI.
4.2 MELI is vrij te kiezen met wie zij een overeenkomst wenst aan te gaan en heeft steeds het recht om een minimumafname voorop te stellen. MELI behoudt zich tevens het recht voor Klanten te weigeren, wanneer zij, bijvoorbeeld (niet limitatief), een order wensen te plaatsen dat onder de minimumafnamehoeveelheid blijft.
4.3 MELI behoudt zich steeds het recht voor om bijkomende informatie op te vragen aangaande de Klant – diens activiteiten of kredietwaardigheid – en bij gebreke aan mededeling hiervan, de uitvoering van de bestelling te weigeren of op te schorten, dan wel integrale voorafbetaling of een voorschot te eisen (cfr. Art. 7).

5. Annulering
5.1 Een door MELI aanvaarde bestelling kan door de Klant slechts (geheel of gedeeltelijk) geannuleerd worden tot maximum vijf (5) werkdagen voor het geplande leveringstijdstip. Een annulatie door de Klant dient steeds op schriftelijke of elektronische wijze te gebeuren.
5.2 MELI behoudt zich het recht voor om bij annulatie van de bestelling door de Klant, zelfs gedeeltelijk, een schadevergoeding aan te rekening van 35% van de prijs (excl. btw) van de geannuleerde bestelling met een minimum van tweehonderd (200) euro, onverminderd het recht van MELI om vergoeding van hoger bewezen schade.
5.3 MELI heeft het recht om de bestelling te annuleren, in het geval deze is gebaseerd op foutieve informatie van de Klant, wanneer MELI vermoedt dat de Klant beroep doet op MELI omwille van redenen die niet als objectief redelijk en aanvaardbaar kunnen worden beschouwd of in het geval MELI zich voorafgaandelijk aan of tijdens de uitvoering van de bestelling, omwille van objectieve redenen, niet (langer) in staat ziet om uitvoering te geven aan de bestelling (onder meer: het niet of niet meer voorradig zijn van bepaalde Producten). In geen geval kan in geval van dergelijke annulatie een schadevergoeding worden geëist van MELI.

6. Instructies van de Klant
6.1 MELI neemt van de Klant afkomstige instructies, beschrijvingen, specificaties, ontwerpen, logo’s, namen etc. over zonder enig bijkomend onderzoek verschuldigd te zijn en zonder hieromtrent enige verantwoordelijkheid te aanvaarden.
6.2 MELI is slechts gebonden door de specifieke instructies van de Klant waaraan de Producten moeten voldoen (o.a. met betrekking tot eigenschappen, samenstellingen, toepassingen en verpakkingen, indien deze specifieke instructies zijn opgenomen in (i) de orderbevestiging uitgaande van MELI of (ii) deel uitmaken van een tussen MELI en de Klant apart gesloten schriftelijke overeenkomst/bevestiging.
6.3 Behoudens opzet en zware fout van MELI, zullen moeilijkheden of vertragingen tijdens de uitvoering veroorzaakt door een gebrek aan tijdige informatie of assistentie van de Klant, de leveringstermijn verlengen en de prijs verhogen met de veroorzaakte bijkomende kosten.

7. Voorschot
7.1 MELI behoudt zich steeds het recht voor aan de Klant 30% van de prijs van de bestelling als voorschot aan te rekenen of aan de Klant de integrale betaling te vragen alvorens tot uitvoering van de bestelling over te gaan.
7.2 De niet-tijdige betaling van het voorschot, dan wel van de volledige prijs, indien zo overeengekomen, leidt in ieder geval tot de opschorting van de leveringstermijn. Ingeval de Klant ook na aanmaning weigert over te gaan tot betaling, behoudt MELI zich het recht voor de gehele bestelling, of een gedeelte daarvan te annuleren, in welk geval de Klant een forfaitaire schadevergoeding verschuldigd zal zijn cfr. Art. 5.3.

8. Prijs
8.1 Alle prijzen zijn uitgedrukt in euro en zijn inclusief btw en verpakkingskosten. Behoudens andersluidende schriftelijke overeenkomst tussen MELI en de Klant wordt de verschuldigdheid van eventuele taksen, heffingen, vervoers-, verzekerings-, en administratiekosten geregeld in overeenstemming met de van toepassing zijnde Incoterms® (2010) cfr. Art. 11.1.
8.2 Voor zover de prijzen zijn gebaseerd op de alsdan geldende hoogte van loonkosten, kosten van bestanddelen, sociale premies en overheidslasten, vervoerskosten en verzekeringspremies, kosten van materialen en grondstoffen, wisselkoersen en/of andere kosten is MELI in geval van verhoging van één of meer van deze prijsfactoren gerechtigd haar prijzen dienovereenkomstig te verhogen en dit in overeenstemming met de wettelijk toegelaten normen.

9. Betaling
9.1 Betaling via bankoverschrijving
9.1.1 Voor alle offline bestellingen, is betaling via bankoverschrijving van toepassing. MELI zal hiertoe een factuur aan de Klant uitschrijven.
9.1.2 Onverminderd hetgeen bepaald in Art. 7 of tenzij wanneer uitdrukkelijk anders overeengekomen, zijn de facturen van MELI door de Klant integraal betaalbaar via overschrijving op het door MELI meegedeelde bankrekeningnummer zonder korting en binnen vijf (5) dagen na factuurdatum.
9.1.3 Facturen kunnen enkel geldig schriftelijk worden geprotesteerd binnen de acht (8) kalenderdagen na factuurdatum met vermelding van factuurdatum en -nummer en een gedetailleerde motivering van het protest.
9.1.4 De onvoorwaardelijke betaling van een deel van een factuurbedrag geldt als uitdrukkelijke aanvaarding van het corresponderende deel van de factuur. Dergelijk protest ontheft de Klant in geen geval van zijn betalingsverplichtingen.
9.1.5 Deelbetalingen worden steeds aanvaard onder alle voorbehoud en zonder enige nadelige erkentenis, en eerst toegerekend op de inningskosten, vervolgens op het schadebeding, de vervallen interest en ten slotte op de openstaande hoofdsom, waarbij bij voorrang wordt toegerekend op de oudste openstaande hoofdsom.
9.2 Online betaling
9.2.1 Bestellingen via de Webshop kunnen louter door de Klant online betaald worden via een bijzondere betalingsmodule voorzien op de Website. Voor de verwerking van deze online transacties doet MELI een beroep op externe professionele en gespecialiseerde partners die een betalingsplatform beheren. De financiële gegevens van de Klant die worden ingevoerd in het kader van een online betaling worden enkel uitgewisseld tussen de externe partner en de betrokken financiële instellingen. MELI heeft geen toegang tot de vertrouwelijke financiële gegevens van de Klant.
9.2.2 De online betalingen gebeuren met behulp van beveiligde protocollen. Op alle online betalingen zijn de algemene voorwaarden van de externe beheerder van het betalingsplatform van toepassing, die als enige de verantwoordelijkheid draagt met betrekking tot de correcte uitvoering van alle online betalingen.
9.2.3 Na volledige betaling van de online bestelling, zal MELI een factuur (als bevestiging van de transactie) aan de Klant bezorgen.
9.2.4 In geval van weigering van de online betaling, zal de betaling via bankoverschrijving cfr. Art. 9.1 van toepassing zijn.

10. Elektronische facturatie
Door het plaatsen van de bestelling, verklaart de Klant zich uitdrukkelijk akkoord met het gebruik van elektronische facturatie door MELI, behoudens schriftelijke afwijking.

11. Wijze van levering
11.1 Tenzij uitdrukkelijk anders overeengekomen, worden de Producten geleverd op het door de Klant opgegeven leveringsadres. Deze levering zal plaatsvinden in overeenstemming met de Incoterms® (2010) zoals vermeld op de orderbevestiging/bevestigingsmail/factuur. Hieruit volgend zullen alle kosten met betrekking tot het transport en de overdracht van het risico voor beschadigingen, vernietigingen en verdwijningen met betrekking tot de Producten in overeenstemming zijn met deze Incoterms®. Bij gebreke aan (i) uitdrukkelijk akkoord, of (ii) vermelding van de toepasselijke Incoterms® op de orderbevestiging/bevestigingsmail/factuur, zullen de Producten EX WORKS (Incoterms® 2010) op de maatschappelijke zetel van MELI aan de Klant ter beschikking worden gesteld.
11.2 De manier waarop het transport plaatsvindt en op wie zij hiervoor beroep doet, wordt door MELI zelf bepaald.
11.3 De Klant is verantwoordelijk dat de plaats waar geleverd moet worden toegankelijk is en opengesteld is voor levering. Extra lostijd (onder meer wachttijd of elke andere vertraging bij de levering te wijten aan de Klant), wordt aan de Klant doorgerekend. Verloren verplaatsingen en retourvrachten (onder meer omdat de Producten niet in ontvangst worden genomen door de Klant) worden steeds aangerekend aan de Klant.

12. Termijnen van levering
12.1 In de gevallen waarin de Klant een levering vraagt binnen een bepaalde termijn of tegen een bepaalde datum of wanneer MELI zelf een leveringstermijn of -datum aangeeft, zal MELI deze termijn of datum steeds naar best vermogen proberen naleven. Behoudens indien uitdrukkelijk anders overeengekomen, zijn deze termijnen evenwel louter indicatief en altijd bij benadering.
De overschrijding van de voorziene termijn of datum kan geen aanleiding geven tot verbreking, annulering of ontbinding van de overeenkomst ten laste van MELI, indeplaatsstelling of enige boete of schadevergoeding van welke aard ook. Overschrijding van de leveringstermijn of -datum ontheft de Klant niet van diens verplichtingen.
12.2 Wijzigingen in het order of laattijdige betaling van het voorschot doen eventuele vooropgestelde leveringstermijnen of -data automatisch vervallen. Een leveringstermijn neemt pas een aanvang van zodra MELI alle benodigde instructies van de Klant heeft ontvangen. De leveringsdatum wordt opgeschort zolang MELI deze niet heeft ontvangen.
12.3 MELI is in geen geval aansprakelijk voor vertragingen in de levering, opgelopen als gevolg van het in gebreke blijven van leveranciers van MELI, de Klant of enige andere derde.

13. Gevolgen van niet- of laattijdige betaling
13.1 Voor elke factuur die geheel of gedeeltelijk niet betaald is door de Klant op de vervaldag wordt van rechtswege, zonder voorafgaande ingebrekestelling een nalatigheidsintrest aangerekend van één procent (1%) per achterstallige maand, waarbij elke begonnen maand als volledig verlopen wordt beschouwd. Bovendien wordt het verschuldigde bedrag verhoogd met alle inningskosten van MELI verbonden aan de invordering van de schuld, alsook met tien procent (10%) van het factuurbedrag, met een minimum van zeventig (70) euro, ten titel van forfaitaire schadevergoeding, onverminderd het recht van MELI om een hogere schadevergoeding te eisen.
13.2 Indien de Klant in gebreke blijft om één of meerdere uitstaande vorderingen aan MELI te voldoen alsook wanneer de Klant zich in staat van faillissement of insolventie bevindt, behoudt MELI zich het recht voor om elke verdere levering onmiddellijk stop te zetten en om zonder enige ingebrekestelling de overeenkomst naar eigen inzicht te schorsen of als beëindigd te beschouwen, in welk geval de forfaitaire schadevergoeding zoals voorzien in Artikel 5.2 is verschuldigd.
13.3 Bovendien brengt dit de onmiddellijke opeisbaarheid mee van alle andere facturen, zelfs deze die nog niet vervallen zijn en vervallen alle toegestane betalingsvoorwaarden. Hetzelfde geldt ingeval van dreigend faillissement, gerechtelijke of minnelijke ontbinding, staking van betaling, alsook bij elk ander feit wijzend op de insolvabiliteit van de Klant.

14. Uitvoering van de overeenkomst
14.1 De overeenkomst heeft enkel betrekking op de Producten zoals omschreven in (i) de orderbevestiging uitgaande van MELI, of (ii) de bevestigingsmail indien de bestelling werd geplaatst op de Webshop, (iii) of de overeenkomst tussen MELI en de Klant, (iv) of bij gebreke aan een orderbevestiging, bevestigingsmail en overeenkomst, door de door de Klant geplaatste bestelling indien MELI begonnen uit met de uitvoering van de bestelling cfr. Art. 4.1. Eventuele wijzigingen en/of aanvullingen van het order na de totstandkoming van de overeenkomst zijn slechts geldig na schriftelijk akkoord van MELI. De Klant erkent dat dergelijke wijzigingen en/of aanvullingen gevolgen zullen hebben voor de leveringstermijnen en de prijs (cfr. Art. 8 en Art. 12). Bij ontstentenis van schriftelijk akkoord omtrent wijzigingen of aanvullingen van het order, wordt ervan uitgegaan dat deze zijn uitgevoerd conform de (mondelinge) instructies van de Klant.
14.2 De stalen en voorbeelden die MELI desgevallend aan de Klant bezorgt, zijn slechts informatief.

15. Zichtbare/verborgen gebreken – Klachten
15.1 De Klant dient de Producten onmiddellijk na levering te verifiëren (doch niet uitsluitend) met betrekking tot conformiteit, juiste hoeveelheden, gewicht, zichtbare gebreken, laattijdige levering, e.d.m. Klachten worden enkel in aanmerking genomen indien de Klant deze heeft vermeld op de afgetekende leveringsbon, of deze, bij gebreke aan leveringsbon, schriftelijk of elektronisch aan MELI overmaakt binnen een termijn van twee (2) uur nadat de Producten zijn geleverd.
15.2 De Klant dient enig verborgen gebrek binnen de twee (2) maanden vanaf datum van levering van de Producten (leveringsbon), maar in ieder geval achtenveertig (48) uur na ontdekking ervan, schriftelijk aan MELI mee te delen.
15.3 Indien geen klachten worden meegedeeld binnen deze termijnen, wordt de Klant geacht de levering te hebben goedgekeurd en aanvaard.
15.4 Na het constateren van enig gebrek is de Klant verplicht om het gebruik van het desbetreffende Product onmiddellijk te staken en voorts al het redelijke te doen (of laten doen) ter voorkoming van (verdere) schade en correcte bewaring van de Producten op straffe van onontvankelijkheid van de klacht.
15.5 De Klant mag in geen geval Producten terugsturen zonder voorafgaandelijk uitdrukkelijk schriftelijk akkoord van MELI.
15.6 Klachten ontheffen de Klant geenszins van zijn betalingsverplichting cfr. Art. 9.
15.7 Onverminderd het voorgaande, is de Klant in elk geval gehouden tot vergoeding van de kosten gemaakt naar aanleiding van onterechte klachten.

16. Aansprakelijkheid
16.1 De aansprakelijkheid van MELI beperkt zich in elk geval – naar eigen keuze en inzicht van MELI – tot (i) het (opnieuw) leveren van de ontbrekende of gebrekkige Producten, of (ii) de creditering van de prijs van de ontbrekende of gebrekkige Producten.
16.2 In ieder geval is de aansprakelijkheid van MELI beperkt tot de aansprakelijkheid die verplicht is opgelegd door de wet, dan wel is haar aansprakelijkheid gelimiteerd tot (i) de factuurwaarde van de ontbrekende of gebrekkige Producten, (ii) de door MELI aangegane polis BA-uitbating en (iii) de door MELI aangegane polis tot dekking van de productaansprakelijkheid – wat het laagste van voornoemde is.
16.3 Tevens is MELI in geen enkel geval gehouden tot het vergoeden van onrechtstreekse of gevolgschade (zoals, maar niet beperkt tot, inkomstenderving of schade aan derden, of enige vervolgschade door deze Producten veroorzaakt).
16.4 Het bestemmen van de Producten door de Klant of een door hem aangeduide derde gebeurt onder de volledige verantwoordelijkheid en op risico van de Klant. MELI kan in dit geval op geen enkele wijze worden aangesproken voor enige rechtstreekse of onrechtstreekse schade die voortvloeit uit deze bestemming.
16.5 De Klant kan in geen geval aanspraak maken op vrijwaring door MELI voor:
(i) Schade veroorzaakt door foutieve, onvolledige of laattijdige gegevens en instructies afkomstig van de Klant;
(ii) Problemen met de versheid of kwaliteit van de Producten die te wijten zijn aan:
– Consumptie na de aangeduide houdbaarheidsdatum of de normale verbruiksperiode van de Producten;
– Bewaring in onaangepaste omstandigheden (onder meer op vlak van koeling, vochtigheid of externe geuren), in een onaangepaste verpakking of na het openen van de verpakking;
– De verwerking of het gebruik van de Producten door de Klant.
(iii) Bijkomende schade ontstaan door verder gebruik of verdere toepassing door de Klant na vaststelling van het gebrek;
(iv) Schade veroorzaakt door overmacht of hardship cfr. Art. 18.
16.6 In het geval dat MELI aansprakelijk wordt gesteld op grond van de Wet van 25 februari 1991 betreffende de aansprakelijkheid voor producten met gebreken, is MELI niet aansprakelijk indien:
(i) De schade werd veroorzaakt door de schuld van het slachtoffer of een persoon voor wie het slachtoffer verantwoordelijk is, onder meer wanneer de schade duidelijk het resultaat is van het verkeerde gebruik van de Producten, en
(ii) De schade werd veroorzaakt door een gebrek dat niet bestond op het tijdstip dat het Product in het verkeer werd gebracht, noch wanneer het onmogelijk was het bestaan van het gebrek te ontdekken.
16.7 De Klant erkent dat:
– MELI geen garantie biedt dat de Producten voldoen aan de regelgeving of vereisten die gelden in enig rechtsgebied, behalve de regelgeving of vereisten die gelden in België zoals deze geldt op het moment van levering van het Product aan de Klant door MELI. MELI kan dan ook niet verantwoordelijk gesteld worden voor latere wetswijzigingen van welke aard dan ook;
– MELI de vereiste toelating heeft verkregen van het Belgisch Federaal Agentschap voor de Veiligheid van de Voedselketen (FAVV) aangaande de uitoefening van haar activiteiten.
16.8 De aansprakelijkheid van MELI kan enkel weerhouden worden door de rechtstreekse Klant van MELI, niet door derden.

17. Netting & Eigendomsvoorbehoud
17.1 In overeenstemming met de bepalingen van de Belgische Wet op de Financiële Zekerheden van 15 december 2004 compenseren en verrekenen MELI en de Klant automatisch en van rechtswege alle actuele bestaande en toekomstige schulden opzichtens elkaar. Dit betekent dat in de permanente relatie tussen MELI en de Klant steeds maar de grootste schuldvordering per saldo na de voormelde automatische verrekening overblijft. Deze schuldvergelijking zal in elk geval tegenstelbaar zijn aan de curator en de overige samenlopende schuldeisers, die zich dus niet zullen kunnen verzetten tegen de doorgevoerde schuldvergelijking.
17.2 Producten geleverd door MELI blijven eigendom van MELI tot volledige betaling van het verschuldigde bedrag (in hoofdsom, interesten en kosten) door de Klant.

18. Overmacht/hardship
18.1 MELI is niet aansprakelijk voor een tekortkoming in de nakoming van haar verplichtingen die veroorzaakt is door overmacht of hardship, met name alle omstandigheden die op het ogenblik van het sluiten van de overeenkomst redelijkerwijze onvoorzienbaar waren en onvermijdbaar zijn en die de onmogelijkheid creëren om de overeenkomst uit te voeren of die de uitvoering van de overeenkomst financieel of anderszins zwaarder of moeilijker zouden maken dan normaal voorzien, zoals bijvoorbeeld (niet limitatief) natuuromstandigheden, oorlog, terrorisme of dreiging met terreur, stakingen, lock-out, ziekten, personeelstekort, bedrijfsorganisatorische omstandigheden, inbeslagname, brand, breuk van machines en/of gereedschappen, schaarste in grondstoffen en/of materialen, vertragingen bij of faillissement van leveranciers.
18.2 Gevallen van overmacht of hardschip geven MELI het recht om, naar eigen keuze, (i) de nakoming van haar verplichtingen tijdelijk op te schorten, (ii) de contractuele voorwaarden te herzien, en (iii) de overeenkomst te beëindigen door een eenvoudige schriftelijke betekening aan de Klant, zonder dat MELI enige schadevergoeding verschuldigd is of kan zijn.

19. Privacy
De verwerking van persoonsgegevens door MELI vindt plaats conform de bepalingen van de privacyverklaring van MELI, die van toepassing is op de Klant en door hem dient nagelezen te worden op de Website.

20. Intellectuele rechten
20.1 MELI behoudt de intellectuele eigendomsrechten op de Producten en recepten hiervan. De levering van een Product strekt niet tot enige overdracht van de rechten van intellectuele eigendom.
20.2 De Klant verbindt er zich toe om geen handelingen te stellen die strijdig zouden zijn met de intellectuele eigendomsrechten van MELI of deze ongeldig zouden maken. De Klant verbindt er zich tevens toe MELI onverwijld op de hoogte te brengen van inbreuken op voornoemde bepaling door derden.
20.3 Alle teksten, beschrijvingen, logo’s, merknamen en afbeeldingen in catalogussen, brochures of websites e.d.m. worden weergegeven, zijn eigendom van MELI of zijn met toestemming van de respectieve rechthebbenden door MELI gebruikt en mogen slechts gekopieerd, gereproduceerd, vermenigvuldigd, opnieuw gepubliceerd, geüpload, geplaatst, gepost, overgebracht, gedistribueerd of gebruikt worden voor het maken van afgeleide werken, dan na de uitdrukkelijke, voorafgaandelijke en schriftelijke toestemming van MELI.
20.4 Indien MELI Producten produceert of verpakt overeenkomstig instructies van de Klant, verleent de Klant aan MELI een licentie alsook het recht om sublicenties te geven aan de producenten van MELI op de door de Klant aangeleverde logo’s en (beeld) merken.

21. Rechtskeuze en bevoegde rechtbanken
21.1 Het Belgisch recht is van toepassing.
21.2 Geschillen behoren tot de uitsluitende bevoegdheid van de rechtbanken van het arrondissement waar MELI haar maatschappelijke zetel heeft.


1. Langue / Taal / Language

1.1 Ces présentes conditions générales (ci-après : les « CG ») sont disponibles sur simple demande de la part du client en néerlandais, anglais et français. Deze algemene voorwaarden zijn op eenvoudig verzoek van de klant beschikbaar in het Nederlands, Engels en Frans. These general conditions are available on request of the customer in Dutch, English and French.
1.2 La langue initiale des présentes CG est le néerlandais. Les traductions vers une autre langue ne constituent qu’un simple supplément à l’égard du client. En cas de contradictions, la version néerlandaise prévaudra toujours.

2. Application CG
2.1 Toutes les relations juridiques contractuelles, présentes et à venir, entre la société anonyme Meli, ayant son siège social à 8630 Veurne, Handelsstraat 13, TVA BE 0411.905.847, RPM Gand, division Veurne (ci-après : « MELI ») et toute personne morale cliente, ainsi que toute personne qui passe une commande à MELI au nom ou pour le compte de cette personne morale (ci-après le « Client »), sont régies par (en ordre hiérarchique décroissant, ce qui suit à défaut de ce qui précède) : (i) le contrat écrit entre MELI et le Client, (ii) la confirmation de commande écrite émanant de MELI, (iii) l’e-mail de confirmation de MELI en cas de commande sur le webshop via le site Web de MELI (www.meli.be) (ci-après : le « Webshop » et le « Site Web »), (iv) le bon de commande accepté par MELI émanant du Client, (v) l’offre de MELI acceptée par le Client, (vi) les présentes CG, et (vii) le droit belge.
2.2 MELI est active dans la production et la vente de miel et de produits alimentaires à base de miel (ci-après : « les Produits »).
2.3 En demandant un prix, en passant une commande, en concluant un contrat ou en passant une commande sur le Webshop, le Client reconnaît avoir pris connaissance des présentes conditions générales et accepte qu’elles s’appliquent à toutes les relations juridiques entre MELI et le Client.
2.4 Ces conditions générales ont toujours priorité sur les conditions du Client, qui ne sont pas opposables à MELI, même pas lorsque celles-ci stipulent qu’elles s’appliquent à l’exclusion de toutes autres.
2.5 La non-application (de manière répétée) par MELI d’un quelconque droit, peut uniquement être considérée comme la tolérance d’une situation déterminée et ne conduit pas à la forclusion.
2.6 L’éventuelle nullité d’une ou de plusieurs clauses des présentes conditions générales ou d’une partie de celles-ci ne fait pas préjudice à la validité et à l’applicabilité des autres clauses et/ou du reste de la disposition en question. Le juge compétent peut atténuer la disposition nulle jusqu’à ce qui est (légalement) permis.

3. Annonces publicitaires
Les brochures, bulletins d’information et autres annonces publicitaires, ainsi que les mentions sur le site Web et le Webshop et les médias sociaux de MELI (facebook, instagram, pinterest, youtube, etc.) sont entièrement sans engagement et ne peuvent être considérés que comme une invitation à passer une commande par le Client, sauf mention contraire explicite. Le prix mentionné, les descriptions, les propriétés, les fonctionnalités et les représentations des Produits sont purement indicatifs et non contraignants pour MELI.

4. Réalisation du contrat
4.1 Le contrat n’est conclu (i) qu’après réception de la confirmation écrite de la commande par une personne habilitée à engager MELI, ou (ii) qu’après réception de l’e-mail de confirmation si une commande a été passée sur le Webshop, (iii) ou au début de l’exécution de la commande par MELI.
4.2 MELI est libre de choisir avec qui elle souhaite conclure un contrat et a toujours le droit de réclamer un achat minimum. MELI se réserve également le droit de refuser des Clients si, par exemple (non limitatif), ils souhaitent passer une commande en dessous de la quantité d’achat minimum.
4.3 MELI se réserve toujours le droit de demander des informations supplémentaires concernant le Client – ses activités ou sa solvabilité – et à défaut de communication à ce sujet, de refuser ou de suspendre l’exécution de la commande, ou d’exiger le paiement anticipé intégral ou un acompte (cf. Art. 7).

5. Annulation
5.1 Une commande acceptée par MELI ne peut être annulée (en tout ou en partie) par le Client que jusqu’à un maximum de cinq (5) jours ouvrables avant la date de livraison prévue. Une annulation par le Client doit toujours être faite par écrit ou par voie électronique.
5.2 MELI se réserve le droit, en cas d’annulation de la commande par le Client, de facturer, même partiellement, une indemnité de 35% du prix (hors TVA) de la commande annulée avec un minimum de deux cents (200) euros, sans préjudice du droit de MELI à l’indemnisation des dommages prouvés supérieurs.
5.3 MELI se réserve le droit d’annuler la commande, si celle-ci est basée sur des informations erronées du Client, lorsque MELI soupçonne que le Client utilise MELI pour des raisons qui ne peuvent être considérées objectivement raisonnables et acceptables ou dans le cas où MELI, avant ou pendant l’exécution de la commande, pour des raisons objectives, ne se considère pas (ou plus) capable d’exécuter la commande (notamment : certains produits qui ne sont pas (ou plus) en stock). En aucun cas, une indemnisation ne pourra être exigée de la part MELI en cas d’une telle annulation.

6. Instructions du client
6.1 MELI reprend les instructions, descriptions, spécifications, dessins, logos, noms, etc. du client sans être redevable d’une quelconque recherche supplémentaire et sans accepter une quelconque responsabilité à cet égard.
6.2 MELI est uniquement liée par les instructions spécifiques du Client auxquelles les Produits doivent satisfaire (notamment en ce qui concerne les propriétés, compositions, applications et emballages), si ces instructions spécifiques sont reprises dans (i) la confirmation de commande émise par MELI ou (ii) font partie d’un contrat/d’une confirmation écrit(e) conclu(e) séparément entre MELI et le Client.
6.3 Sauf faute intentionnelle et faute grave de la part de MELI, les difficultés ou retards d’exécution dus à l’absence d’information ou d’assistance du client en temps utile prolongent le délai de livraison et augmentent le prix des frais supplémentaires occasionnés.

7. Acompte
7.1 MELI se réserve toujours le droit de facturer au Client 30% du prix de la commande à titre d’acompte ou de demander au Client le paiement intégral avant d’exécuter la commande.
7.2 Le paiement de l’avance qui n’est pas effectué à temps, ou bien du prix intégral, si cela a été convenu ainsi, entraîne en tout cas la suspension du délai de livraison. Au cas où le Client refuse, même après une mise en demeure, de procéder au paiement, MELI se réserve le droit d’annuler l’entièreté ou une partie de la commande, auquel cas le client sera redevable d’une indemnité forfaitaire cf. Art. 5.3.

8. Prix
8.1 Tous les prix s’entendent en euros et sont hors TVA et frais d’emballage. Sauf accord écrit contraire entre MELI et le Client, les taxes, prélèvements, frais de transport, frais d’assurance et frais administratifs éventuels dus seront réglés conformément aux Incoterms® (2010) applicables cf. Art. 11.1.
8.2 Pour autant que les prix soient basés sur le niveau hauteur alors en vigueur des coûts salariaux, coûts des éléments, primes sociales et charges imposées par l’État, frais de transport et primes d’assurance, frais de matériaux et de matières premières, taux de change et/ou d’autres frais, MELI est habilitée, en cas d’augmentation d’un ou de plusieurs de ces facteurs de prix, à majorer ses prix en conséquence, et ce conformément aux normes légalement admises.

9. Paiement
9.1 Paiement par virement bancaire
9.1.1 Pour toute commande hors ligne, le paiement par virement bancaire est applicable. À cet effet, MELI établira une facture pour le Client.
9.1.2 Sans préjudice des dispositions de l’art. 7 ou sauf convention contraire expresse, les factures de MELI sont intégralement payables par le Client par virement bancaire au numéro de compte bancaire communiqué par MELI sans escompte et dans les cinq (5) jours suivant la date de la facture.
9.1.3 Les factures peuvent uniquement être valablement contestées par écrit dans les huit (8) jours calendriers après la date de la facture, avec mention de la date et du numéro de la facture et d’une motivation détaillée de la contestation.
9.1.4 Le paiement inconditionnel d’une partie du montant de la facture vaut acceptation expresse de la partie correspondante de la facture. Une telle contestation n’exempte en aucun cas le Client de ses obligations de paiement.
9.1.5 Les paiements partiels sont toujours acceptés sous toute réserve et sans la moindre reconnaissance préjudiciable, et sont d’abord imputés sur les frais de recouvrement, ensuite sur la clause pénale, puis sur les intérêts échus, et finalement sur le montant principal en souffrance, l’imputation ayant lieu par priorité sur la somme principale ouverte la plus ancienne.
9.2 Paiement en ligne
9.2.1 Les commandes passées via le Webshop peuvent simplement être payées par le Client en ligne par le biais d’un module de paiement particulier prévu sur le site Web. Pour le traitement de ces transactions en ligne, MELI fait appel à des partenaires externes professionnels et spécialisés qui gèrent une plate-forme de paiement. Les données financières du Client saisies dans le cadre d’un paiement en ligne ne sont échangées qu’entre le partenaire externe et les organismes financiers concernés. MELI n’a pas accès aux données financières confidentielles du Client.
9.2.2 Les paiements en ligne sont effectués à l’aide de protocoles sécurisés. Les conditions générales du gestionnaire externe de la plate-forme de paiement s’appliquent à tous les paiements en ligne ; ce gestionnaire est seul responsable de la bonne exécution de tous les paiements en ligne.
9.2.3 Après le paiement intégral de la commande en ligne, MELI transmettra une facture (à titre de confirmation de la transaction) au Client.
9.2.4 En cas de refus du paiement en ligne, le paiement se fera par virement bancaire cf. L’article 9.1 s’applique.

10. Facturation électronique
En passant la commande, le Client marque son accord explicite sur l’utilisation d’une facturation électronique par MELI, sauf dérogation écrite.

11. Mode de livraison
11.1 Sauf convention contraire expresse, les Produits seront livrés à l’adresse de livraison indiquée par le Client. Cette livraison s’effectuera conformément aux Incoterms® (2010) tels qu’indiqués sur la confirmation de commande/l’e-mail de confirmation/la facture. Il en découle que tous les frais relatifs au transport et au transfert des risques de dommages, de destructions et de disparitions concernant les Produits seront conformes à ces Incoterms®. En l’absence (i) d’accord explicite, ou (ii) de mention des Incoterms® applicables à la confirmation de commande/à l’e-mail de confirmation/à la facture, les Produits EX WORKS (Incoterms® 2010) seront mis à la disposition du Client au siège social de MELI.
11.2 Le mode de transport et la personne à qui MELI fait appel pour celui-ci sont déterminés par MELI elle-même.
11.3 Le Client est responsable de l’accessibilité et de l’ouverture du lieu de livraison. Le temps de déchargement supplémentaire (notamment le temps d’attente ou tout autre retard de livraison imputable au client) est facturé au Client. Les déplacements perdus et les frets de retour (notamment parce que les Produits n’ont pas été réceptionnés par le Client) sont toujours facturés au Client.

12. Délais de livraison
12.1 Dans les cas où le Client demande une livraison dans un délai déterminé ou pour une date déterminée, ou lorsque MELI fixe elle-même un délai ou une date de livraison, MELI respectera toujours au mieux ce délai ou cette date. Sauf convention contraire explicite, ces délais sont toutefois purement indicatifs et toujours approximatifs.
Le dépassement du délai ou de la date prévu(e) ne peut pas donner lieu à la rupture, l’annulation ou la dissolution du contrat à charge de MELI, la subrogation ou à une quelconque amende ou indemnité de quelque nature que ce soit. Le dépassement du délai ou de la date de livraison n’exempte pas le Client de ses obligations.
12.2 Les modifications de commande ou le paiement tardif de l’acompte entraînent l’échéance automatique des délais ou des dates de livraison proposé(e)s. Un délai de livraison commence uniquement à partir du moment où MELI a reçu toutes les instructions nécessaires de la part du Client. Le délai de livraison est suspendu tant que MELI ne les a pas reçues.
12.3 MELI n’est en aucun cas responsable des retards de livraison, encourus suite au manquement des fournisseurs de MELI, du Client ou d’un quelconque autre tiers.

13. Conséquences du paiement tardif ou du non-paiement
13.1 Pour chaque facture non payée en totalité ou en partie par le Client à la date d’échéance, un intérêt de retard de un pour cent (1%) par mois de retard, où chaque mois entamé est considéré comme mois totalement expiré, est facturé de plein droit, sans mise en demeure préalable. En outre, le montant dû est majoré de tous les frais de recouvrement de MELI liés au recouvrement de la dette, ainsi que de dix pour cent (10%) du montant de la facture, avec un minimum de septante (70) euros, à titre d’indemnité forfaitaire, nonobstant le droit de MELI d’exiger une indemnité supérieure.
13.2 Si le Client reste en défaut de régler à MELI une ou plusieurs créances en souffrance même si le Client est situation de faillite ou d’insolvabilité, MELI se réserve le droit, sans aucune mise en demeure, d’arrêter immédiatement toute livraison ultérieure et de suspendre ou de considérer comme terminé le contrat, auquel cas une indemnité forfaitaire telle que prévue à l’Article 5.2 est due.
13.3 En outre, cela entraîne l’exigibilité immédiate de toutes les autres factures, même celles qui ne sont pas encore arrivées à échéance, et toutes les conditions de paiement octroyées sont échues. Il en va de même en cas de menace de faillite, de dissolution judiciaire ou amiable, de cessation de paiement, ainsi que tout autre fait indiquant l’insolvabilité du Client.

14. Exécution du contrat
14.1 Le contrat ne porte que sur les Produits tels que décrits dans (i) la confirmation de commande émise par MELI, ou (ii) l’e-mail de confirmation si la commande a été passée sur le Webshop, (iii) ou le contrat entre MELI et le Client, (iv) ou à défaut de confirmation de commande, d’e-mail de confirmation et de contrat, par la commande passée par le Client si MELI a commencé à exécuter la commande, cf. Art.4.1. Les modifications et/ou compléments éventuels apportés à la commande après la conclusion du contrat sont uniquement valables moyennant l’accord écrit de MELI. Le Client reconnaît que de tels modifications et/ou compléments auront des conséquences sur les délais de livraison et le prix (cf. Art. 8 et Art. 12). En l’absence d’un accord écrit sur les modifications ou les compléments à la commande, il est présumé que ceux-ci ont été effectués conformément aux instructions (verbales) du Client.
14.2 Les échantillons et les exemples que MELI fournit au Client, le cas échéant, sont uniquement informatifs.

15. Défauts visibles/cachés – Réclamations
15.1 Le Client doit vérifier les Produits immédiatement après la livraison en ce qui concerne (mais pas exclusivement) la conformité, les quantités correctes, le poids, les défauts visibles, le retard de livraison, etc. Les réclamations ne seront prises en considération que si le Client a mentionné celles-ci sur le bon de livraison signé ou, à défaut de bon de livraison, les transmet par écrit ou par voie électronique à MELI dans un délai de deux (2) heures suivant la livraison des Produits.
15.2 Le Client doit notifier par écrit à MELI tout vice caché dans un délai de deux (2) mois à compter de la date de livraison des Produits (bon de livraison), mais en tout cas dans les quarante-huit (48) heures après sa découverte.
15.3 Si aucune réclamation n’a été communiquée dans ces délais, le Client est réputé avoir approuvé et accepté la livraison.
15.4 Après la découverte d’un quelconque défaut, le Client est tenu de cesser immédiatement d’utiliser le Produit en question et de faire (ou faire faire) tout ce qui est raisonnable pour prévenir des (d’autres) dommages et conserver de manière correcte les Produits, sous peine d’irrecevabilité de la réclamation.
15.5 En aucun cas, le Client ne peut renvoyer les Produits sans l’accord préalable, explicite et écrit de MELI.
15.6 Les réclamations n’exemptent en aucun cas le Client de son obligation de paiement cf. Art. 9.
15.7 Sans préjudice de ce qui précède, le Client est en tout cas tenu d’indemniser les frais encourus suite aux réclamations non justifiées.

16. Responsabilité
16.1 La responsabilité de MELI se limite en tout cas – au choix et à la discrétion de MELI – (i) à livrer (à nouveau) les Produits manquants ou défectueux, ou (ii) à créditer le prix des Produits manquants ou défectueux.
16.2 En tout cas, la responsabilité de MELI se limite à la responsabilité qui est obligatoire en vertu de la loi, où sa responsabilité est limitée à (i) à la valeur facturée des Produits manquants ou défectueux, (ii) la police d’assurance RC exploitation souscrite par MELI et (iii) la police RC Produits souscrite par MELI – le montant le plus bas étant retenu.
16.3 En aucun cas MELI n’est tenue d’indemniser les dommages indirects ou consécutifs (comme, de manière non limitative, le manque à gagner ou les dommages causés à des tiers, ou quelconques dommages consécutifs causés par ces Produits).
16.4 L’affectation des Produits par le Client ou par un tiers désigné par lui a lieu sous l’entière responsabilité et aux risques du Client. Dans ce cas, il ne peut en aucun cas être réclamé à MELI une indemnité pour de quelconques dommages directs ou indirects découlant de cette affectation.
16.5 Le Client ne peut en aucun cas invoquer la garantie de MELI pour :
(i) Les dommages causés suite à des données et des instructions erronées, incomplètes ou tardives de la part du Client ;
(ii) Les problèmes de fraîcheur ou de qualité des Produits dus à :
– Consommation après la date de péremption indiquée ou la période normale de consommation des Produits ;
– Stockage dans des conditions inappropriées (notamment sur le plan du refroidissement, de l’humidité ou des odeurs extérieures), dans un emballage inapproprié ou après l’ouverture de l’emballage ;
– La transformation ou l’utilisation des Produits par le Client.
(iii) Les dommages supplémentaires survenus du fait de l’utilisation ou de l’application après la constatation d’un défaut.
(iv) Les dommages par la force majeure ou des difficultés, cf. Art. 18.
16.6 Dans le cas où MELI est tenue responsable sur la base de la Loi du 25 février 1991 relative à la responsabilité du fait des produits défectueux, MELI ne sera pas responsable si :
(i) Le dommage a été causé par la faute de la victime ou d’une personne sous la responsabilité de la victime, notamment lorsque le dommage est clairement le résultat d’une utilisation incorrecte des Produits, et
(ii) Le dommage a été causé par un défaut qui n’existait pas au moment de la mise en circulation du Produit, ni lorsqu’il était impossible de détecter l’existence du défaut.
16.7 Le Client reconnaît que :
– MELI n’offre pas de garantie que les Produits satisfont à la réglementation ou aux exigences qui s’appliquent dans une quelconque juridiction, sauf la réglementation ou les exigences qui s’appliquent en Belgique, en vigueur au moment de la livraison du Produit par MELI au Client. MELI ne peut dès lors pas être tenue responsable de modifications légales ultérieures, peu importe leur nature ;
– MELI a obtenu l’autorisation requise de l’Agence fédérale belge pour la sécurité de la chaîne alimentaire (AFSCA) concernant l’exécution de ses activités.
16.8 La responsabilité de MELI peut uniquement être retenue par le Client direct de MELI, pas par des tiers.

17. Netting & Réserve de propriété
17.1 Conformément aux dispositions de la loi belge du 15 décembre 2004 relative aux sûretés financières, MELI et le Client compensent et imputent automatiquement et de plein droit toutes les dettes actuelles et futures qu’ils ont l’un à l’égard de l’autre. Cela signifie que dans la relation permanente entre MELI et le Client, la créance la plus importante par solde subsiste toujours après la compensation automatique précitée. Cette compensation sera en tout cas opposable au curateur et aux autres créanciers concurrents, qui ne pourront donc pas s’opposer à la compensation effectuée.
17.2 Les Produits qui sont livrés par MELI restent la propriété de MELI jusqu’au paiement intégral du montant dû (au principal, intérêts et frais) par le Client.

18. Force majeure/difficultés
18.1 MELI n’est pas responsable d’un manquement au respect de ses obligations causé par la force majeure ou des difficultés, notamment toutes les circonstances qui au moment de la conclusion du contrat étaient raisonnablement imprévisibles et inéluctables et qui rendent l’exécution du contrat impossible ou rendent cette exécution plus lourde ou plus difficile que normalement prévu, sur le plan financier ou autre, par exemple (non limitatif) les catastrophes naturelles, la guerre, le terrorisme ou la menace terroriste, les grèves, le lock-out, les maladies, le manque de personnel, les circonstances organisationnelles de l’entreprise, la saisie, l’incendie, la cassure des machines et/ou des outils, la pénurie de matières premières et/ou de matériaux, les retards ou la faillite de fournisseurs.
18.2 Les cas de force majeure ou les difficultés donnent le droit à MELI, à sa convenance, (i) de suspendre temporairement l’exécution de ses obligations, (ii) de réviser les conditions contractuelles et (iii) de résilier le contrat par simple notification écrite au Client, sans que MELI soit ou puisse être redevable d’une quelconque indemnité.

19. Vie privée
Le traitement des données personnelles par MELI s’effectue conformément aux dispositions de la déclaration relative à la vie privée de MELI, qui s’appliquent au Client et qu’il doit consulter sur le Site web.

20. Droits intellectuels
20.1 MELI conserve les droits de propriété intellectuelle sur les Produits et leurs recettes. La livraison d’un Produit n’implique aucun transfert de droits de propriété intellectuelle.
20.2 Le Client s’engage à ne prendre aucune mesure qui pourrait être contraire aux droits de propriété intellectuelle de MELI ou qui pourrait les invalider. Le Client s’engage également à informer immédiatement MELI de toute violation de la disposition précitée par des tiers.
20.3 Tous les textes, descriptions, logos, marques et images contenus dans les catalogues, brochures ou sites Web, etc. reproduits, sont la propriété de MELI ou ont été utilisés par MELI avec le consentement de leurs propriétaires respectifs et ne peuvent être copiés, reproduits, multipliés, republiés, téléchargés, affichés, postés, transmis, distribués ou utilisés pour la création de travaux dérivés, sans le consentement explicite, préalable et écrit de MELI.
20.4 Si MELI fabrique ou conditionne des Produits conformément aux instructions du Client, celui-ci accorde à MELI une licence ainsi que le droit de donner des sous-licences aux producteurs de MELI sur les logos et les marques (graphiques) fournis par le Client.

21. Droit applicable et tribunaux compétents
21.1 Le droit belge est applicable.
21.2 Les litiges relèvent de la compétence exclusive des tribunaux de l’arrondissement dans lequel MELI a son siège social.

2. Application of the GTC
2.1 All contractual relationships, both current and future, between the public limited company Meli, with registered offices Handelsstraat 13, 8630 Veurne, VAT BE.0411.905.847, Register of Legal Persons Ghent, subsection Veurne (hereinafter referred to as ‘MELI‘) and every customer/legal person, as well as any person placing orders with MELI on behalf of such legal person (hereinafter referred to as the ‘Customer‘), are governed by (in hierarchical descending order, with the next one applicable in the absence or non-application of the previous one): (i) the written agreement between MELI and the Customer; (ii) the written order confirmation issued by MELI; (iii) the confirmation e-mail sent by MELI when placing an order on the webshop via the MELI website (www.meli.be) (hereinafter referred to as the “Webshop” and the “Website“), (iv) the order form sent by the Customer and accepted by MELI; (v) the quotation issued by MELI and accepted by the Customer, (vi) these GTC, and (vii) Belgian law.
2.2 MELI is active in the production and sale of honey and honey-based food products (hereinafter “the Products“).
2.3 By requesting a quotation, placing an order, entering into an agreement, or placing an order on the Webshop, the customer acknowledges having taken notice of these General Terms and Conditions and accepts that they apply to all existing and future contractual relationships between MELI and the Customer.
2.4 These General Terms and Conditions always take precedence over the terms and conditions of the Customer, which will not be enforceable against MELI, even if they stipulate that they are the only valid terms.
2.5 Any (recurrent) failure by MELI to apply any right can only be considered as tolerating a certain situation and does imply any forfeiture of rights.
2.6 The invalidity of one or more provisions of these General Terms and Conditions or any part thereof does not affect the validity and enforceability of the other provisions and/or the remainder of the provision in question. The competent court shall moderate the invalid provision to what is (legally) authorised.

3. Advertising announcements
Brochures, newsletters, and other forms of advertising, as well as announcements on the Website and Webshop, and social media of MELI (Facebook, Instagram, Pinterest, YouTube, etc.) are entirely free of obligation and shall only be considered as an invitation to place an order by the Customer, unless explicitly stated otherwise. The listed price, descriptions, characteristics, functionalities and images of the Products are merely indicative and non-binding for MELI.

4. Formation of the agreement
4.1 The contract shall only be concluded (i) upon receipt of the written order confirmation of the order by a person authorised to bind MELI, or (ii) upon receipt of the confirmation email if an order has been placed on the Webshop, (iii) or upon commencement of the implementation of the order by MELI.
4.2 MELI is free to choose with whom it wishes to enter into an agreement and always has the right to demand a minimum purchase amount. Furthermore, MELI reserves the right to refuse certain Customers, for instance if they seek to place an order below the minimum purchase value.
4.3 MELI reserves the right to request additional information with regard to the Customer – their activities or creditworthiness – and in the absence of any disclosure in this respect reserves the right to refuse or suspend implementation of the order, or to demand full payment in advance, or a deposit (see Art 7).

5. Cancellation
5.1 An order accepted by MELI may only be cancelled (in whole or in part) by the Customer up to a maximum of five (5) working days before the scheduled delivery time. A cancellation by the Customer must always be made in writing or electronically.
5.2 In the event that an order is cancelled by the Customer, even partially, MELI reserves the right to charge damages amounting to 35% of the price (excluding VAT) of the cancelled order, with a minimum of two hundred euros (€200.00), without prejudice to the right of MELI to claim compensation for additional proven damage.
5.3 MELI has the right to cancel the order, if it is based on incorrect information provided by the Customer, if MELI suspects that the Customer has solicited MELI for reasons that cannot be considered objectively reasonable and acceptable or if, prior to or during the implementation of the order, MELI, for objective reasons, does not (or no longer) sees itself capable of fulfilling the order (in particular: the non-availability of certain Products). In no event can damages be claimed from MELI in such cases of cancellation.

6. Instructions from the Customer
6.1 MELI shall take over instructions, descriptions, specifications, designs, logos, names, etc. from the Customer without being liable for any additional research, and without accepting any responsibility in this respect.
6.2 MELI is only bound by the specific instructions of the Customer with which the Products must comply (including with regard to properties, compositions, applications and packaging) if these specific instructions are included in (i) the order confirmation issued by MELI or (ii) form part of a written agreement/confirmation concluded separately between MELI and the Customer.
6.3 Except in the case of wilful misconduct or gross negligence on the part of MELI, any problems or delays arising during the implementation of the order as a result of the absence of timely information or assistance on the part of the Customer will extend the delivery term and increase the price by the corresponding additional costs.

7. Advance payment
7.1 MELI reserves the right to request from the Customer 30% of the total amount of the order by way of advance payment or request the Customer to make payment in full prior to implementing the order.
7.2 Late payment of the advance payment or the full price, whichever was agreed, in any case will result in extending the delivery term. In the event that the Customer also refuses to make the payment after a reminder, MELI reserves the right to cancel the entire order, or cancel a part thereof, in which case the Customer shall owe a fixed compensation cfr. Art 5.3.

8. Price
8.1 All prices are expressed in euros and include VAT and packaging costs. Unless otherwise agreed in writing between MELI and the Customer, the charging of any taxes, levies, transport, insurance and administrative costs shall be governed in accordance with the applicable Incoterms® (2010) cfr. Art. 11.1
8.2 Insofar as the prices are based on the prevailing wage costs, costs of parts, social contributions and government taxes, transport costs and insurance premiums, costs of materials and raw materials, exchange rates and/or other costs, MELI is entitled to raise its prices accordingly in the event of an increase in one or more of these price factors, in accordance with the legally permissible standards.

9. Payment
9.1 Payment by bank transfer
9.1.1 For all offline orders, payment by bank transfer is applicable. To this end, MELI shall issue an invoice to the Customer.
9.1.2 Without prejudice to the provisions of Art. 7, or unless explicitly agreed otherwise, invoices issued by MELI are payable in full by the Customer via bank transfer into the bank account specified by MELI, without any discounts and within five (5) days from the invoice date.
9.1.3 Invoices can only be validly contested in writing within eight (8) calendar days from the invoice date and must include the date of invoice, the invoice number and a detailed justification of the objection.
9.1.4 Unconditional payment of part of the invoice amount implies the explicit acceptance of the corresponding part of the invoice. In any event, such objection does not discharge the Customer from their payment obligations.
9.1.5 Partial payments are accepted subject to all reservation and without any prejudicial acknowledgement, and will be allocated first to the collection costs, then to the compensation clause and accrued interest, and finally to the principal amount, whereby priority is given to the oldest outstanding principal amount.
9.2 Online payment
9.2.1 Orders via the Webshop can only be paid by the Customer online via a special payment module provided on the Website. For the processing of these online transactions, MELI uses external professional and specialised partners who manage a payment platform. The financial data of the Customer that is entered as part of an online payment is only exchanged between the external partner and the financial institutions concerned. MELI has no access to the confidential financial data of the Customer.
9.2.2 Online payments are made using secure protocols. All online payments are subject to the general terms and conditions of the external administrator of the payment platform, who has sole responsibility for the correct execution of all online payments.
9.2.3 After full payment of the online order, MELI will send an invoice (confirming the transaction) to the Customer.
9.2.4 In case of refusal of the online payment, the payment by bank transfer cfr. Art. 9.1 shall apply.

10. Electronic invoicing
By placing an order, the Customer explicitly agrees to the use of electronic invoicing by MELI, except in the event of derogation in writing.

11. Delivery method
11.1 Unless expressly agreed otherwise, the Products will be delivered to the delivery address provided by the Customer. This delivery will take place in accordance with the Incoterms® (2010) as stated on the order confirmation/confirmation email/invoice. Consequently, all costs relating to the transport and transfer of the risk of damage, destruction and disappearance relating to the Products shall be in accordance with these Incoterms®. In the absence of (i) express agreement, or (ii) mention of the applicable Incoterms® on the order confirmation/confirmation email/invoice, the Products shall be made available EX WORKS (Incoterms® 2010) to the Customer at the registered offices of MELI.
11.2 The method of transportation and the service provider solicited to this end shall be chosen by MELI.
11.3 The Customer is responsible for ensuring that the place where delivery is to be made is accessible and open for delivery. Any unexpected additional offloading time (e.g. waiting time and any delays in the delivery attributable to the Customer) will be charged to the Customer. Unnecessary transport or returns (for instance because the Products are not accepted by the Customer) shall always be charged to the Customer.

12. Delivery term
12.1 In cases where the Customer requests delivery within a certain period or at a certain date, or where MELI suggests a delivery period or date, MELI will try to the best of its ability to meet said term. However, unless specifically agreed otherwise, these periods are an indication only and always approximate.
MELI’s failure to meet the planned delivery period or date does not entitle the Customer to terminate or cancel the agreement vis-à-vis MELI, nor does it give rise to any substitution, fine or damages. MELI’s failure to meet the delivery period or date does not discharge the Customer from their obligations.
12.2 Changes to the order or late payment of the advance payment automatically result in cancellation of any planned delivery periods or dates. Delivery terms shall not start until MELI has received all relevant instructions from the Customer. The delivery term shall be suspended up until the moment MELI receives these instructions from the Customer.
12.3 In no event shall MELI be liable for delays in deliveries incurred as a result of shortcomings on the part of MELI’s suppliers, the Customer or any other third party.

13. Consequences of non-payment or late payment

13.1 Each invoice that on the due date has not been paid in part or in full by the Customer shall automatically and without notice of default incur interest for late payment at one per cent (1%) for each month in arrears, whereby each commenced month will count as a full month. In addition, the amount due shall be increased by all collection costs incurred by MELI for recovering the debt and by ten percent (10%) of the invoiced amount, with a minimum of seventy (EUR 70) for fixed damages, without prejudice to MELI’s right to claim higher damages.
13.2 If the Customer remains in default as regards the settlement of one or more of MELI’s outstanding claims, even when the Customer is in a state of bankruptcy or insolvency, MELI reserves the right to cease further deliveries and at its discretion, either suspend the agreement or consider it terminated, in which case the fixed damages provided in Article 5.2 become due.
13.3 In addition, this shall result in all other invoices becoming due and payable, even those that are not yet due, and all authorised payment conditions to expire at once. The same applies in the event of imminent bankruptcy, judicial or amicable dissolution, cessation of payments, as well as any other element indicating the insolvency of the Customer.

14. Implementation of the agreement
14.1 The agreement only relates to the Products as described in (i) the order confirmation issued by MELI, or (ii) the confirmation email if the order was placed on the Webshop, (iii) or the agreement between MELI and the Customer, (iv) or in the absence of an order confirmation, confirmation email and agreement, by the order placed by the Customer if MELI has started with the implementation of the order, cfr. Art 4.1. Any changes and/or additions to the order after formation of the agreement shall be valid only after written consent by MELI. The Customer acknowledges that such changes and/or additions will have consequences for the delivery periods and prices (cfr. Art. 8 and 12). In the absence of written consent concerning changes or additions to the order it is assumed that they will have been carried out in accordance with the (oral) instructions from the Customer.
14.2 Any samples or examples provided by MELI to the Customer are for information purposes only.

15. Visible/hidden defects – Complaints
15.1 The Customer must verify (but not exclusively) the Products immediately after delivery with regard to conformity, correct quantities, weight, visible defects, late delivery, etc. Complaints shall only be taken into consideration if the Customer has indicated them on the signed delivery note or, in the absence of a delivery note, submits them in writing or electronically to MELI within two (2) hours of delivery of the Products.
15.2 The Customer must notify MELI in writing of any hidden defect within two (2) months from the date of delivery of the Products (delivery note), but in any case forty-eight (48) hours after discovery thereof.
15.3 If no complaints are communicated within this period, the Customer shall be deemed to have approved and accepted the delivery.
15.4 After identifying any defect, the Customer is required to immediately cease using the Product in question, and take all reasonable steps (or have them taken) to prevent (further) damage and ensure adequate storage of the Products, under penalty of inadmissibility of the complaint.
15.5 Under no circumstances may the Customer return Products without the express prior written consent of MELI.
15.6 Complaints in no way discharge the Customer from their payment obligations cfr. Art 9.
15.7 Notwithstanding the foregoing, the Customer must in any case reimburse any costs incurred for unjustified complaints.

16. Liability
16.1 MELI’s liability shall in any event be limited – at MELI’s decision and discretion – to (i) (re)delivering the missing or defective Products, or (ii) crediting the price of the missing or defective Products.
16.2 In any event, MELI’s liability is limited to the liability required by law, or its liability is limited to (i) the invoice value of the missing or defective Products, (ii) the Civil Liability policy taken out by MELI and (iii) the product liability policy taken out by MELI, whichever is the lower.
16.3 MELI is also under no circumstances obliged to compensate indirect or consequential damage (including, but not limited to, loss of income or damage to third parties, or any consequential damage caused by these Products).
16.4 Allocating the Products by the Customer or by a third party appointed by it shall occur under the full responsibility and at the risk of the Customer. In such cases, MELI can in no event be held liable for any direct or indirect damage arising from this allocation.
16.5 The Customer may under no circumstances claim indemnification from MELI for:
(i) Damage caused by incorrect, incomplete or late information and instructions from the Customer;
(ii) Problems with the freshness or quality of the Products due to:
– Consumption after the indicated expiry date or the standard consumption period of the Products;
– Storage in inappropriate conditions (e.g. in terms of cooling, humidity or external odours), in inappropriate packaging or after opening the packaging;
– The processing or use of the Products by the Customer.
(iii) Additional damage caused by further use or further application by the Customer after identifying a defect;
(iv) Damage caused by force majeure or hardship cfr. Art 18.
16.6 In the event that MELI is held liable pursuant to the Law of 25 February 1991 on liability for defective products, MELI shall not be liable if:
(i) The damage was caused by the fault of the victim or a person for whom the victim is responsible, including where the damage is clearly the result of misuse of the Products; and
(ii) The damage was caused by a defect which did not exist at the time the Product was put into circulation, nor if it was impossible to detect the existence of the defect.
16.7 The Customer acknowledges that:
– MELI does not guarantee that the Products will comply with the regulations or requirements applicable in any jurisdiction, except for the regulations or requirements applicable in Belgium at the time of delivery of the Product to the Customer by MELI. MELI can therefore not be held responsible for any subsequent changes in the law of any kind;
– MELI has obtained the required authorisation from the Belgian Federal Agency for the Safety of the Food Chain (FASFC) regarding the exercise of its activities.
16.8 The liability of MELI can only be invoked by direct customers of MELI, and not by third parties.

17. Netting & Retention of title
17.1 In accordance with the provisions of the Belgian Law on Financial Security of 15 December 2004, MELI and the Customer shall automatically and lawfully offset all current and future claims. This means that in the permanent relationship between MELI and the Customer, only the largest debt remains after the aforementioned automatic offsetting. In any case, this debt offsetting shall be enforceable against the administrator and the remaining body of creditors, and no objection shall be possible against this implemented debt offsetting.
17.2 The Products supplied by MELI remain the property of MELI until payment of the full amount owed (principal sum, interests and costs) by the Customer.

18. Force majeure/hardship
18.1 MELI shall not be liable for any shortcoming in the performance of its obligations caused by force majeure or hardship, in particular any circumstances that were reasonably unforeseeable and unavoidable at the time the agreement was entered into, and that make it impossible to perform the agreement or that would make the performance of the agreement financially or otherwise more difficult or more burdensome than normally anticipated, including (non-limitative) natural circumstances, war, terrorism or threat of terror, strikes, lockouts, illnesses, staff shortages, business organisation circumstances, attachment, fire, breakage of machines and/or tools, scarcity of raw materials and/or materials, delays in or bankruptcy of suppliers.
18.2 Cases of force majeure or hardship shall entitle MELI, at its discretion, (i) to temporarily suspend the performance of its obligations, (ii) revise the contractual conditions, and (iii) terminate the agreement by simple written notification to the Customer, without MELI being liable to pay any compensation.

19. Privacy
The processing of personal data by MELI shall be done in accordance with the provisions of MELI’s privacy statement, which applies to the Customer and must be consulted by the latter on the Website.

20. Intellectual property rights
20.1 MELI retains the intellectual property rights to the Products and their formulas. The delivery of a Product does not imply any transfer of intellectual property rights.
20.2 The Customer undertakes not to take any action that would infringe or invalidate MELI’s intellectual property rights. The Customer also undertakes to inform MELI immediately of any infringement of the aforementioned provision by third parties.
20.3 All texts, descriptions, logos, brand names and images in catalogues, brochures or websites etc. are the property of MELI or are used by MELI with the consent of the respective proprietors and may not be copied, reproduced, multiplied, republished, uploaded, placed, posted, transferred, distributed or used for creating derived works other than with the explicit prior written consent from MELI.
20.4 If MELI manufactures or packages Products in accordance with the Customer’s instructions, the Customer grants MELI a licence as well as the right to sub-license the producers of MELI on the logos and trademarks provided by the Customer.

21. Choice of law and competent courts
21.1 Belgian law shall apply.
21.2 Any disputes shall be the exclusive competence of the courts in the district where MELI’s registered office is based.
